Store Partner Terms
Version 2.0 · Effective [date] · Kingdom of Bahrain
This agreement is between Machina+ W.L.L. (“Machina+”, “we”) and the store named in your registration (“the Partner”, “you”). It is written to be read without a lawyer. It is available in English, Arabic, Hindi and Malayalam, and all versions say the same thing.
The short version
The agreement in summary
- 01What this is. We put your store on Machina+, where shoppers compare prices, and let them buy from you there. Either through our checkout, with the order passed to you, or through a link to your own online store. You stay the seller.
- 02Cost. Nothing to list. A commission on each completed sale made through Machina+, at a rate confirmed in writing before you go live. Nothing on sales in your store.
- 03Orders. An order through our checkout is yours to fulfil, at the price and delivery terms shown on your storefront, within the time you set.
- 04Getting paid. Shoppers pay Machina+ at checkout. We pay you out, less the commission, on a schedule confirmed at onboarding, to the bank account you add in the portal.
- 05Delivery. You deliver, the shopper collects, or we arrange a courier. You decide who pays the delivery fee and it is shown before anyone buys.
- 06Returns. Your returns policy is shown on your storefront. Refunds for our checkout go back through Machina+ and are deducted from your next payout.
- 07No exclusivity. You may sell anywhere else, at any time, with no penalty.
- 08Your data. You give us a limited, revocable licence to show your store name, products and prices while you are a partner. It ends when the agreement ends. We do not sell your data.
- 09Leaving. You may end this agreement with 30 days’ written notice. WhatsApp counts. Open orders are still fulfilled. Machina+ may suspend or delist your storefront at once for unfulfilled orders, wrong listings, an invalid CR, or a breach of these terms.
- 10Disputes. Bahraini law. Talk to us first. Most things resolve on WhatsApp. Unresolved disputes go to the courts of Bahrain.
The summary is for convenience. The full clauses below are the agreement.
01The service
Machina+ operates a tech price comparison and shopping platform at machinaplus.com and a partner portal at partner.machinaplus.com. Under this agreement, Machina+ will create and display a storefront showing the Partner’s store name, location, opening hours, products, prices, delivery terms and returns policy (“the Storefront”) to shoppers using the platform, and will let shoppers buy the Partner’s products in one of two ways chosen by the Partner at registration.
Checkout through Machina+. The shopper pays Machina+ on the Storefront and Machina+ passes the order to the Partner for fulfilment (“a Platform Order”).
Link out. The shopper sees the Partner’s price on Machina+ and completes the purchase on the Partner’s own website through a tracked link (“a Tracked Sale”).
In both cases the Partner remains the seller of the goods. Machina+ does not buy, hold or take title to the Partner’s inventory.
Plain words
We put your shop where people compare and let them buy from you, here or on your site. The goods and the sale are yours.
02Fees and commission
Machina+ charges no fee to list, no subscription and no setup charge.
Machina+ charges the Partner a commission on each completed Platform Order and each completed Tracked Sale, calculated on the sale value excluding delivery fees. The commission rate is set out in the Partner’s onboarding confirmation and may differ by category. Machina+ will confirm the rate in writing before the Storefront goes live.
No commission is charged on sales made in the Partner’s store, on cancelled orders, or on the refunded part of any order.
Machina+ may change the commission rate by giving the Partner at least 30 days’ notice. If the Partner does not accept the new rate, it may terminate under clause 11 before the change takes effect.
Commission rate: TBF.
Plain words
Free to list. We take a commission on sales that come through Machina+, at a rate you agree in writing first. In store sales are yours.
03Platform Orders and fulfilment
A Platform Order is passed to the Partner on WhatsApp and in the portal with the products, quantities, price paid, delivery method, address and the delivery slot chosen by the shopper. The Partner must accept or decline the order within the response window shown on it. An order not accepted within the window is cancelled and the shopper refunded.
An accepted order is a commitment to fulfil it at the price and on the delivery terms shown on the Storefront at the time of purchase, within the dispatch time the Partner has set on its Storefront.
The Partner fulfils orders by one or more of the methods it chose at registration: its own delivery, collection in store, or a courier arranged by Machina+ through a logistics partner. Where Machina+ arranges a courier, the courier fee is agreed at onboarding and is either charged to the shopper or deducted from the Partner’s payout, as the Partner chooses.
The Partner sets its delivery fee, if any, and it is shown to the shopper before purchase. The Partner is responsible for the goods until they are handed to the shopper or to the courier.
Repeatedly declining, missing or late orders are grounds for suspension or delisting under clause 11.
Plain words
An order is a real customer who has already paid. Accept it and it is yours to get there on time, the way you said you would.
04Payments and payouts
For Platform Orders, the shopper pays Machina+ at checkout. Machina+ holds the payment and pays the Partner the sale value less the commission, less any refunds and courier fees due, on the payout schedule set out in the Partner’s onboarding confirmation, to the bank account the Partner has added in the portal. No payout is made until a bank account has been added and verified.
For Tracked Sales, the shopper pays the Partner directly. Machina+ invoices the Partner for the commission on completed Tracked Sales on the schedule set out in the onboarding confirmation.
Machina+ provides a statement in the portal for every payout and every invoice, showing each order, the commission and any deductions.
Payout schedule: TBF.
Plain words
Shoppers pay us at checkout, we pay you out less the commission, into the bank account you add in the portal. If they buy on your site, we invoice you the commission.
05VAT and invoicing
The treatment of VAT on Platform Orders and on the commission, including which party issues the tax invoice to the shopper, is being confirmed against the VAT law of the Kingdom of Bahrain and will be set out in the onboarding confirmation before the Storefront goes live. Nothing in this agreement is to be read as tax advice.
The Partner is responsible for its own VAT registration and returns where required, and must provide its VAT number to Machina+ if registered.
VAT treatment and invoicing: TBF.
Plain words
We are confirming how VAT works for sales through our checkout. You will have it in writing before you go live.
06Returns and refunds
The Partner sets its returns policy and it is shown on the Storefront before purchase. The policy must meet the consumer protection rules of the Kingdom of Bahrain.
For Platform Orders, the shopper requests a return through Machina+. Where a return is accepted under the Partner’s policy or required by law, the Partner receives the goods back and Machina+ refunds the shopper, deducting the refunded amount and any commission already paid out from the Partner’s next payout.
For Tracked Sales, returns and refunds are handled by the Partner under its own policy.
Plain words
Your returns policy, shown up front. Refunds for our checkout go back through us and come off your next payout.
07Your information and licence to display it
The Partner grants Machina+ a limited, non exclusive, revocable, non transferable licence to reproduce and display the Partner’s store name, logo, product names, prices and related listing information on the Machina+ platform and in Machina+ marketing that features partner stores, for the duration of this agreement only.
This licence ends when this agreement ends, and the Storefront will be removed from public view within 7 days of termination. The Partner retains all ownership of its information. Machina+ will not sell the Partner’s information, and will not licence it to third parties except as needed to operate the platform (for example, hosting and payment providers).
Plain words
We only display your information while you are a partner, and we stop when you leave.
08Accuracy of listings
The Partner is responsible for the accuracy of the prices, stock and product information it provides, by whichever channel it chooses (portal, file upload, feed or WhatsApp). Prices shown on the Storefront must match what the Partner charges, and stock shown as available must be available.
Where a price has not been updated within the platform’s freshness window, or is disputed by a shopper, Machina+ will hide that price from results rather than display information that may be wrong. Machina+ may also correct obvious clerical errors and will notify the Partner when it does.
A Platform Order placed at a listed price is binding on the Partner at that price. Repeated or deliberate inaccuracy is grounds for immediate delisting under clause 11.
Plain words
What you list is what you charge, and what shows in stock must be in stock. An order at a listed price is an order at that price.
09Eligibility and verification
The Partner must hold a valid Commercial Registration (CR) in the Kingdom of Bahrain. The person accepting this agreement confirms they are the owner of the CR entity or a manager authorised to act for it. The Partner consents to Machina+ verifying the CR number against Sijilat records before the Storefront goes live and periodically thereafter.
The Partner must comply with all laws applicable to its business, including consumer protection, product safety and VAT rules where registered, and must hold any brand authorisation it claims on its Storefront.
10No exclusivity
Nothing in this agreement restricts the Partner from listing, selling or advertising on any other platform or channel, at any time. Machina+ does not condition any feature, rate or placement on exclusivity.
11Term, termination and suspension
This agreement starts when Machina+ confirms the Partner’s registration and continues until terminated.
By the Partner. 30 days’ written notice at any time, for any reason. Notice by WhatsApp message or email to Machina+’s official numbers or addresses is valid. The Storefront comes down at the end of the notice period. Orders accepted before then are still fulfilled and paid out.
By Machina+. Machina+ may suspend or delist the Storefront immediately, without notice, where accepted orders are repeatedly not fulfilled, where listings are materially or repeatedly inaccurate, where the CR is invalid, expired or suspended, where the Partner breaches this agreement, where the account is used for fraudulent, deceptive or illegal activity, or where required by law. For any other reason, Machina+ will give the Partner 30 days’ notice.
Plain words
You can leave with a month’s notice and finish the orders you accepted. We can take your storefront down immediately for missed orders, bad data, an invalid CR or a breach.
12Service disclaimer and liability
The service is provided “as is”. Machina+ makes no guarantee of shopper numbers, orders, sales or uninterrupted availability of the platform. To the maximum extent permitted by Bahraini law, Machina+’s total liability to the Partner under this agreement is limited to the commission the Partner paid to Machina+ in the 12 months before the claim, and neither party is liable to the other for indirect losses such as lost profits.
Nothing in this clause limits liability that cannot be limited by law.
13Changes to these terms
Machina+ may amend these terms by giving the Partner at least 30 days’ notice by WhatsApp and portal notification. If the Partner does not accept an amendment, it may terminate under clause 11 before the amendment takes effect. Continuing to use the service after the effective date constitutes acceptance.
14Personal data (Privacy Policy)
Machina+ collects the contact person’s name, role, phone number and language preference to operate the service, verify the account, pass orders and provide support. This data is processed in accordance with Bahrain’s Personal Data Protection Law (Law No. 30 of 2018).
Shopper details in a Platform Order (name, phone number, address) are provided to the Partner for that order only. The Partner must not use them for marketing, share them, or keep them longer than the order and any return period require.
We use WhatsApp for service messages (verification, status updates, orders, price list intake) with the contact’s consent, given at registration. We do not sell personal data or use it for third party marketing.
Contacts may request a copy, correction or deletion of their personal data at any time via WhatsApp or partners@machinaplus.com. Deletion is subject to legal record keeping duties.
15Governing law and disputes
This agreement is governed by the laws of the Kingdom of Bahrain. The parties will first attempt to resolve any dispute informally, starting with Machina+ partner support on WhatsApp, then a written complaint answered within 10 working days. Unresolved disputes are subject to the exclusive jurisdiction of the courts of the Kingdom of Bahrain.
16Record of agreement
On acceptance, Machina+ sends the Partner a copy of these terms and of its onboarding confirmation (PDF, in the Partner’s chosen language) by WhatsApp, and a copy remains available for download in the partner portal at all times, together with the version number and the date of acceptance.
